ConnectDER Limited Warranty

Limited Warranty Coverage

ConnectDER warrants its products to be free from defects in materials and workmanship under normal use and service conditions, subject to the terms below:

Covered Products and Warranty Periods

12.5 Year Warranty: Applicable to Solar MSA, Solar DO MSA, EV MSA, and IslandDER MSA units, contingent upon product registration within 30 days of installation. The warranty period begins on the date of installation.

Warranty Terms

If a covered product exhibits a manufacturing defect and the customer notifies ConnectDER of such defect with reasonable specificity during the applicable Warranty Period, ConnectDER will, at its sole discretion, repair the product, replace it with a new or refurbished unit, or issue a refund up to the original purchase price. This remedy is the sole and exclusive remedy available under this Limited Warranty.  See “How to Make a Claim” below for the requirements for claims.

Exclusions

This Limited Warranty does not cover damage or failure caused by:

  • Improper installation, handling, or maintenance of ConnectDER products not in accordance with ConnectDER installation manuals
  • Installation of ConnectDER products by unqualified personnel
  • Installations of ConnectDER products without AHJ or utility approval where required 
  • Unauthorized modifications or repairs of ConnectDER products
  • Acts of nature (e.g., lightning, floods, fire, or other events not related to the materials or workmanship of ConnectDER products)
  • Use of ConnectDER products in combination with other products or systems not approved by ConnectDER
  • Cosmetic injury of ConnectDER products that does not affect their performance
  • Use of ConnectDER products for purposes outside of their intended application, or misuse of ConnectDER products
  • Use or handling of ConnectDER products by parties other than the installer or the original purchaser of the ConnectDER product

Warranty Transferability

This Limited Warranty is provided to the original purchaser and is not transferable without prior written consent from ConnectDER.

Warranty Eligibility

All ConnectDER products must be registered within thirty (30) days of installation by a qualified installer. Registration may be completed by scanning the QR code included in the original packaging, on the product itself or via the ConnectDER website.

To validate this warranty, a complete registration form must be submitted with all the required information, including but not limited to: product serial numbers, installation date and location, installer name and contact information, etc. Failure to register the product within thirty (30) days of installation will result in denial of warranty coverage.

If any component of a product is replaced, the new component must be registered with ConnectDER within thirty (30) days of installation of that component to maintain coverage. The registration of a replacement component does not extend, renew, or restart the original 12.5-year Warranty Period; all replacement parts remain covered only for the remaining balance of the original Warranty Period established at the time of the initial product registration.

How to Make a Claim

To initiate a Limited Warranty claim, contact ConnectDER at www.connectder.com/contact/ with the following information:

  • Proof of Purchase: Documentation showing the date of purchase and the date of installation
  • Identification: Product serial numbers for affected units
  • Documentation: A detailed description and photographs (if applicable) of the defect 
  • Return & Inspection: All units must be returned for RMA coverage and are subject to inspection to verify warranty eligibility

All claims must be made within the Warranty Period and no later than thirty (30) days following identification of the defect.

Limitations of Liability

To the fullest extent permitted by law:

  • ConnectDER’s total liability shall not exceed the purchase price of the product.
  • This Limited Warranty is exclusive and in lieu of all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
  • ConnectDER is not liable for incidental, indirect, or consequential damages, including lost profits or labor costs.
  • ConnectDER not liable for other utility fees associated with a claim

Limited Warranty

(a)  Seller warrants to Buyer that for a period of 12.5 years from the product registration date (“Warranty Period”), provided such registration occurs within 30 days of installation, that such Goods will materially conform to the Buyer’s published specification in effect as of the date of manufacture and will be free from material defects in material and workmanship

(b) Seller will not be liable for a breach of the warranty set forth in Warranty Terms unless: (i) Buyer gives written notice of the defect, reasonably described, to Seller within 30 days following the time when Buyer discovers or ought to have discovered the defect; (ii) Seller is given a reasonable opportunity after receiving the notice to examine such Goods and Buyer (if requested to do so by Seller) returns such Goods to Seller’s place of business at Seller’s cost for the examination to take place there; and (iii) Seller reasonably verifies Buyer’s claim that the Goods are defective.

(c) Seller will not be liable for a breach of the warranty set forth in the Warranty Terms if: (i) Buyer makes any further use of such Goods after giving notice to Buyer of a defect; (ii) the defect arises because Buyer failed to follow Seller’s oral or written instructions as to the storage, installation, commissioning, use or maintenance of the Goods; (iii) Buyer alters or repairs such Goods without the prior written consent of Seller; or (iv) any other circumstance limiting Seller’s warranty obligations, as described in the Warranty Terms, has occurred. 

(d) Subject to Section (b) and Section (c) above, with respect to any such Goods during the Warranty Period, Seller will, in its sole discretion, either: (i) repair or replace such Goods (or the defective part) with new or refurbished Goods or (ii) credit or refund the price of such Goods at the pro rata contract rate provided that, if Seller so requests, Buyer will, at Seller’s expense, return such Goods to Seller.

(e) Buyer will indemnify, defend and hold harmless Seller, its successors and assigns, and its respective officers, directors and employees, from and against any and all claims, losses, damages, costs, and expenses (including attorney’s fees and amounts paid in settlement in good faith) which may be suffered or incurred by any of them as a result of any claim, demand, suit, proceeding or cause of action arising in any manner from: (i) any acts or omissions by Buyer or its representatives, arising out of or relating to Buyer’s purchase, handling, transportation, export, re-export, re-transfer, import, possession, use, demonstration, marketing, sale, disposition, distribution or maintenance of Goods (ii) sales by Buyer to installers that Buyer knows or has reason to know are non-qualified, are routine violators of energy or building codes and standards, or have made hazardous installations of similar products; (iii) the improper use or disclosure of Seller’s intellectual property, including trademarks, patents, copyrights and proprietary marketing and business systems information; (iv) any intentional misconduct or negligent act or omission of Buyer, its employees, or its agents; (v) any contractual obligation assumed by Buyer toward a third-party; (vi) any misuse or modification of any Good by Buyer or its employees or agents; or (vii) Buyer’s failure to comply with any law applicable to the Agreement or the performance of Buyer’s obligations hereunder.

(f) THE REMEDIES SET FORTH IN THE LIMITED WARRANTY TERMS WILL BE BUYER’S SOLE AND EXCLUSIVE REMEDY AND SELLER’S ENTIRE LIABILITY FOR THE MATTERS DESCRIBED IN THE LIMITED WARRANTY TERMS.

Limitation of Liability

(a) IN NO EVENT WILL SELLER BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT, OR FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE. 

(b) IN NO EVENT WILL SELLER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED 1 TIMES THE TOTAL OF THE AMOUNTS PAID TO SELLER FOR THE GOODS SOLD HEREUNDER.

Compliance with Law. Buyer will comply with all applicable laws, regulations and ordinances. Buyer will maintain in effect all the licenses, permissions, authorizations, consents and permits that it needs to carry out its obligations under this Agreement. Buyer will comply with all export and import laws of all countries involved in the sale of the Goods under this Agreement or any resale of the Goods by Buyer. Buyer assumes all responsibility for shipments of Goods requiring any government import clearance and will be responsible for obtaining any permits, licenses or other government authorization(s) that are necessary for the import and export of Goods into the designated country of importation specified by Buyer. Seller may terminate this Agreement if any governmental authority imposes antidumping or countervailing duties or any other penalties on Goods.
